Subject: Acquisition shares of Siam City Bank Public Company Limited

According to the Annual General Meeting of Shareholder for the year 2010 of Thanachart Capital Public Company Limited ("the Company") on Wednesday 7 April 2010, has resolved that Thanachart Bank Public Company Limited, a subsidiary, to purchase shares of Siam City Bank Public Company Limited from Financial Institutions Development Fund, referred to the letter no. TCAP.MDO.080/2010 dated 7 April 2010 that the Company informed the resolutions of AGM to the SET. The Company would like to inform that Thanachart Bank Public Company Limited already purchased shares of Siam City Bank Public Company Limited at the proportion of 47.58 of the total paid-up capital, which was under condition precedent of the Share Purchase Agreement. Consequently, Thanachart Bank Public Company Limited is currently a major shareholder of Siam City Bank Public Company Limited.
