Subject: Request for temporarily suspension of Securities Trading of Thanachart Capital Public Company Limited
To: Directors and Managers of the Stock Exchange of Thailand
Thanachart Capital Public Company Limited ("the Company") was informed by Thanachart Bank Public Company Limited ("TBANK"), a subsidiary of the Company, that TBANK is in the process of purchasing shares of Siam City Bank Public Company Limited ("SCIB") from Financial Institutions Development Fund ("FIDF"). FIDF holds ordinary shares of SCIB accounted for 47.58 percent of the total paid-up capital. The process may impact to the Company's share price, as a parent company of TBANK, and may impact investor's decision to invest in the Company's shares. The Company thus request that its share be temporarily suspended from trading on 11 March 2010 until there is a conclusion to this matter from TBANK. The Company will coordinate with the TBANK to obtain more information and will inform the Stock Exchange of Thailand and investors of any further progress promptly.
If the said transaction is classified as the acquisition of class 1 transaction according to the Notification of the Stock Exchange of Thailand on the subject matter of Regulation, Procedure and Disclosure of the Acquisition and Disposal of the Listed Securities. The Company is obligated to disclose information of such transaction to the Stock Exchange of Thailand (as stated in Schedule (1)) and shall request for an approval from the Shareholders' Meeting. The Company may ask for approval on this coming Annual General Meeting of Shareholders, on 7 April 2010.
