Subject The selling of ordinary share of Thanachart Bank Public Company Limited

To The President The Stock Exchange of Thailand

Reference The letter no. TCAP.MDO. 182/2007, subject to the permission for selling the ordinary shares of Thanachart Bank Public Company, on July 12, 2007

Subject to Thanachart Capital Public Company Limited "The Company" entered into the contractual agreements relating an agreement on the sale ordinary shares of Thanachart Bank Public Company Limited "The Bank" a subsidiary, which is held 99.36% by The Company to The Bank of Nova Scotia Asia Limited "Scotiabank". In this regard, the Company granted the permission from the Bank of Thailand for selling such ordinary shares. The details appear in the reference.

The Company deemed it appropriate to inform you, on July 19, 2007, the Company sold some amount of ordinary shares of the Bank which held by the Company to Scotiabank. The price is Baht 16.37 per share. Such matter totaled to Baht 2,572221,635.92.

Furthermore, on the same date, the Bank sold the capital increase in the amount of 276,263,200 shares, the value of each share is Baht 16.37, to Scotiabank. The purpose of herein matter is to enable the Scotiabank to be a strategic partnership and altogether administration of the Bank. Thus, the both matters shall change the structure of shareholding of the Bank as following details

List of shareholders before selling, at present (before The Bank's capital increase)

1. Thanachart Capital	amount of shares holding 1,449,042,809 shares	at 99.36%
2. Minority shareholders	amount of shares holding 9,313,283 shares	at 00.64%
Total shares	1,458,356,092 shares	at 100.00%

List of shareholders after selling (before The Bank's capital increase)

1. Thanachart Capital	amount of shares holding 1,291,912,593 shares	at 88.59%
2. The Bank of Nova Scotia Asia Limited	amount of shares holding 157,130,216 shares	at 10.77%
3. Minority shareholders	amount of shares holding 9,313,283 shares	at 00.64%
Total shares	1,458,356,092 shares	at 100.00%

List of shareholders after Scotiabank purchased the ordinary shares which issued for capital increase of The Bank.

1. Thanachart Capital	amount of shares holding 1,291,912,593 shares	at 74.48%
2. The Bank of Nova Scotia Asia Limited	amount of shares holding 433,393,416 shares	at 24.98%
3. Minority shareholders	amount of shares holding 9,313,283 shares	at 00.54%
Total shares	1,734, 619,292 shares	at 100.00%

Thus, this matter does not enter into the Related Transaction that in accordance with the Notification of SET. The size of this matter does not enter into the Acquisition and Disposal in accordance with the Notification of SET.
