Thanachart Capital Public Company Limited ("the Company") would like to inform that the Bangkok South Criminal Court sentenced Mr. Banterng Tantivit, Chairman of the Boarrd of Directors and Mr.Suphadej Poonpipat, Chairman of the Executive Committee to 3 years and 4 months in jail on 25 March 2010 in which the appeal against will be made in accordance with the laws. This case occurred in 1997 when the country faced with the economy crisis. At that time, prices of all stocks in the Stock Exchange of Thailand ('the SET") dramatically decreased. The SET announced the policy to lessen the force sell of margin customers whose collateral value was below the criteria. National Finance and Securities Public Company Limited, like the other Finance and Securities Companies, applied such policy to all customers including Mr. Kroekjai Sosothikul, which was in line with the policy and guideline of the SET.

The Company would like to further inform such sentence in this case has no effect to Thanachart Bank Public Company Limited which is not a litigant in this case. In addition, the Bangkok South Criminal Court sentenced to dismiss the Company and Mr. Somjate Moosirilert on the same charge and fact. Accordingly, this case has no effect to the Company as well.

Moreover, this case has no effect to the positions of both management and to the entire business transfer plan with Siam City Bank Public Company Limited in which Thanachat Bank has just signed the Sale and Purchase Agreement with the Financial Institutions Development Fund.
