Subject: Clarification for inserting additional agenda of Annual General Meeting of Shareholders

Referring to Document TCAP.MDO. 053/2010
Thanachart Capital Public Company Limited (the "Company") has added an additional agenda for the Annual General Meeting of Shareholders 2010 in reference to Document Thor. Chor. Sor. Lor. Or.053/25010 regarding Agenda 8 "To approve for Thanachart Bank Public Company Limited, a subsidiary, to purchase shares of Siam City Bank Public Company Limited ("SCIB") from Financial Institutions Development Fund and tender offering of Siam City Bank Public Company Limited and Ratchthani Leasing Public Company Limited from all securities holders, including to accept the entire business transfer of SCIB"
The Company would like to notify the issues of Thanachart Bank Public Company, a subsidiary company, to acquire shares in Siam City Bank from the Financial Institutions Development Fund ("FIDF") has already received approval to enter the transaction in the Extraordinary General Meeting of Shareholders on 5 November 2010 of which the Company convened in order to approve the aforementioned transaction where the votes of approval were more than three fourths of the attending shareholders with a right to vote. Subsequently, Thanachart Bank proceeded in entering the bid for the shares in Siam City Bank held by the FIDF until completion and subsequent signing of an agreement on 11 March 2010, 16.00 hours. Previously, the Board of Directors Meeting No.3/2010 on 24 February 2010 had the resolution to set a date for the Annual General Meeting of Shareholders 2010 to be the Wednesday 7 April 2010. Subsequently, the Board of Directors Meeting No. 4/2010 on 11 March 2010 approved the additional of the earlier mentioned agenda for consideration in the Annual General Meeting of Shareholders 2010 in order for shareholders to consider and approve. As such, this is in full compliance with the regulatory guidelines regarding the Acquisition and/or Disposition of Assets of the Securities and Exchange Commission of Thailand.
