Subject : Notification of Resolution to Appoint the Audit Committee and the Remuneration Committee

The Board of Directors' Meeting of Thanachart Capital Public Company Limited (TCAP) No.12/2008 held on January 8,2009 at Thongkwao Room,16th Floor, MBK Building Tower, Phayathai Road, Khet Phatumwan, Bangkok, has passed the unanimous resolutions to replace the vacancy with the appointment of Mr.Somkiat Sukdheva to be the Audit Committee and Ms. Suvarnapha Suvarnaprathip to be the Remuneration Committee, respectively. As these results,the names of the members of the Audit Committee and the Remuneration Committee are as follows :
The Audit Committee consists of the following members:
1. Mr.Sommart Poonpakdee Chairman of the Audit Committee 2. Mrs.Siripen Sitasuwan Member of the Audit Committee 3. Mr.Somkiat Sukdheva Member of the Audit Committee
The Remuneration Committee consists of the following members:
1.Mrs.Siripen Sitasuwan Chairman of the Remuneration Committee 2.Mr.Somkiat Sukdheva Member of the Remuneration Committee 3.Ms.Suvarnapha Suvarnaprathip Member of the Remuneration Committee
In this respect,TCAP would like to submit the Certificate and Biography of the Audit Committee Member as appointed,namely Mr.Somkiat Sukdheva in Form F 24-2 attached herewith.
