Subject to the Thanachart Capital Public Company Limited has held the Meeting of Board of Directors No. 11/2008 on November 27, 2008 at Thongkhaw Room, MBK Tower Building, 16th Floor, Phayathai Road, Kwaeng Wangmai, Khet Phatumwan, Bangkok that and had unanimously resolution as follows:
1. To appoint Ms. Suvarnapha Suvarnaprathip enter to be a member of Nomination Committee replace to the vacant position. This regard cause to the members of the Nomination Committee are
1. Mrs. Siripen Sitasuwa Chairman of the Nomination Committee
2. Mr. Somkiat Sukdheva Nomination Committee
3. Ms. Suvarnapha Suvarnaprathip Nomination Committee
Additionally, the Board of Directors would further appoint one of directors to replace the vacancy for the Audit Committee as well as the Remuneration Committee.
2. Furthermore, the Board also has resolved to approve the Treasury Stock project for the financial management in the amount not exceeding Baht 1,200 being equal to the number of 133,315,400 shares or amount to 10 percent of all shares as sold of the company, which details of the share repurchase disclosure form (Form TS-1.2) attached herein.
