Re : TCAP MDO 229/2008, subject to A Call of Extraordinary Meeting of Shareholders for resolutions and the payment of interim dividend, dated on September 25,2008
As Thanachart Capital Public Company Limited "TCAP" held the meeting of the board of directors No.9/2008 dated September 25, 2008 at Thong-Kwow room, 16th floor, MBK Tower, Wangmai Sub-district, Phathumwan District, Bangkok. The board of directors then had a resolution tosummon the extraordinary meeting of shareholder No. 1/2551 on Thursday, October 30, 2008. Itspurpose to amend the Articles of Association of TCAP in Article 8 by using as this paragraph:
"Clause 8. The Company shall not accept a pledge of its own shares. The Company shall own its own shares provided that the Company shall comply with the terms, procedures and conditions as stipulated by the applicable laws."
The detail of this regard is as appeared in herein reference which already informed.
TCAP would like to inform you regard to amend the said Article which informed you as following detail:
"Clause 8. The Company shall not accept a pledge of its own shares. The Company shall own its own shares provided that the Company shall comply with the terms, procedures and conditions as stipulated by the applicable laws.
In the case that the Company repurchases the shares of the Company from the shareholders not exceeding 10 % of all shares sold, the Board of Directors shall have the power to approve such shares repurchasing."
